Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the website (sensorops.io), as well as any software, APIs, or services offered by SensorOps Inc. (“SensorOps,” “we,” “our,” or “us”). By using our services, you accept and agree to be bound by these Terms. If you do not agree, do not access or use our services.

Definitions

  • “Services”: Any website, product, software platform, API, or technical tool made available by SensorOps, including but not limited to SynDOJO, TargetModeler, and TacOS.
  • “User,” “you,” or “Client”: Any entity or individual who accesses or uses our Services.
  • “Content”: Any data, files, models, telemetry, or other materials uploaded or generated through the Services.

Eligibility & Authorized Use

You may use our Services only if you:

  • Are legally authorized to bind your organization.
  • Are at least 18 years of age.
  • Are not a citizen or entity of a country or region subject to U.S. export restrictions.
  • Are not listed on any U.S. government prohibited or restricted party lists.

Our tools are intended for institutional, enterprise, and government use only. We do not offer services for general consumer or commercial use.

License & Access Rights

Subject to your compliance with these Terms, SensorOps grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful, internal business or mission-related purposes.
You may not:

  • Modify, reverse engineer, or decompile the software.
  • Sell, sublicense, or otherwise distribute the Services.
  • Use the Services to create a competing product.
  • Access the Services to monitor their availability or functionality for benchmarking or competitive purposes.

Customer Data & Ownership

a. Data Ownership
You retain all rights in the input data you provide and any content you create using our tools, unless otherwise agreed in a written contract.

b. Platform Data
SensorOps may collect anonymized telemetry, usage metrics, and system performance data to improve platform performance, reliability, and security. No personal or classified data will be collected or used without explicit agreement.

c. Data Security
We implement industry-standard security protocols including encryption, access control, and audit logging. Sensitive data handling follows DoD-compliant best practices.

Government Use

The Services and related documentation are considered “Commercial Computer Software” under applicable FAR and DFARS regulations. Government use is subject to the restrictions outlined in these Terms and applicable acquisition regulations.

Export Control

You agree to comply with all U.S. export laws and regulations, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR), and not to transfer or use the Services in violation of those laws. You may not use, export, or transfer the Services:

  • To embargoed countries.
  • To individuals or entities on U.S. government denied or restricted lists.
  • For any end-use prohibited under U.S. law.

Confidentiality

Unless otherwise agreed in writing:

  • All technical information shared by SensorOps is confidential.
  • You will not disclose it to any third party without prior written consent.
  • You will protect it with at least the same level of care you use for your own confidential information.

Termination

SensorOps may suspend or terminate your access to the Services at any time:

  • If you breach these Terms.
  • If required by law or government directive.
  • For inactivity, misuse, or security risk.
  • Upon completion or expiration of a contract.

Upon termination, all rights and licenses granted to you shall immediately cease, and you must stop using the Services.

Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind. We do not guarantee that:

  • The Services will be uninterrupted or error-free.
  • Output data or simulations will meet operational expectations.
  • Use of the Services will result in successful outcomes in any mission, simulation, or deployment.

SensorOps disclaims all warranties, express or implied, including fitness for a particular purpose or non-infringement.

Limitation of Liability

To the fullest extent permitted by law:

  • SensorOps shall not be liable for indirect, incidental, special, consequential, or punitive damages.
  • Our aggregate liability shall not exceed the total fees paid by you to SensorOps for the Services in the 12 months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless SensorOps and its officers, employees, and agents from any claims, damages, liabilities, or expenses arising from:

  • Your use or misuse of the Services.
  • Your violation of these Terms or any applicable laws.
  • Your breach of confidentiality or data handling obligations.

Intellectual Property

SensorOps owns all intellectual property rights in the software, documentation, algorithms, models, and systems that make up the Services. Nothing in these Terms conveys any ownership rights to you.

Changes to These Terms

SensorOps may update these Terms from time to time. Material changes will be posted on our website or communicated via email. Continued use of the Services after changes become effective constitutes acceptance.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute shall be resolved by confidential arbitration in [Insert City, State], under the rules of the American Arbitration Association (AAA). Both parties waive the right to a jury trial.
